Terms of Use of Website and Application

These Terms of Use ("Terms") govern your access to and use of the websites, mobile applications, software, content, tools, features, document-storage functionality, and related services (collectively, the "Platform") offered by Stamp'd LLC, an Indiana limited liability company ("Stamp'd," "Company," "we," "us," or "our"). By creating an account, clicking "I Agree," accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. Your access to the Platform is expressly conditioned upon your acceptance of these Terms, and if you do not agree to these Terms, your access or use of the Platform will be deemed an unauthorized access or use of the same.

You represent and warrant that (a) you are at least eighteen (18) years old or have reached the age of majority in your jurisdiction; (b) you possess the legal capacity to enter into these Terms; (c) you are not prohibited from using the Platform under applicable law; (d) you are not located in, organized under the laws of, or ordinarily resident in a country subject to comprehensive economic sanctions or embargoes; and (e) all information provided by you is accurate and complete.

The Platform is designed to assist you in preparing for international travel by providing informational resources and organizational tools, including (a) information regarding travel requirements; (b) personalized travel-readiness checklists; (c) tools for organizing travel-related tasks and documentation; (d) secure storage and management of travel-related documents; and (e) related informational services and features.

The Platform is intended solely as an informational and organizational resource. The Platform does not provide legal, immigration, medical, tax, financial, or other professional advice or services.

The Platform and all information, content, materials, checklists, alerts, reminders, recommendations, notifications, data, and other features made available through the Platform are provided for general informational and organizational purposes only and do not constitute legal advice, immigration advice, medical advice, tax advice, financial advice, or any other form of professional advice. Stamp’d is not a law firm, immigration consultant, medical provider, financial advisor, travel agent, or visa agency, and no attorney-client, advisory, fiduciary, or other professional relationship is created by your use of the Platform or your communications with Stamp’d.

You should not rely on any information made available through the Platform as a substitute for professional advice from a qualified attorney, licensed immigration consultant, medical professional, tax advisor, financial advisor, or other licensed professional. Travel requirements, visa requirements, entry requirements, health requirements, and other travel-related information change frequently and may vary based on individual circumstances. Before making any travel decisions, you should independently verify all relevant requirements directly with the applicable embassy, consulate, governmental authority, airline, transportation provider, or qualified professional.

To access certain features, you must create an account. You agree to (a) provide accurate and current information requested during registration; (b) maintain and promptly update your account information to keep it accurate and current; (c) maintain the confidentiality and security of your account credentials; (d) not share your account credentials with any third party; and (e) notify Stamp’d promptly of any unauthorized access or suspected security breach involving your account.

You are solely responsible for all activities occurring under your account and for maintaining the security of your account. Stamp’d shall not be liable for any loss or damage arising from your failure to maintain the security of your account or credentials.

"User Content" means all information, documents, files, images, data, text, records, communications, and other materials that you submit, upload, transmit, store, or otherwise make available through the Platform. You hereby grant Stamp’d and its affiliates, service providers, contractors, and subprocessors a worldwide, non-exclusive, royalty-free license to use, store, reproduce, process, display, and transmit User Content solely as necessary to operate and provide the Platform to you.

You represent and warrant that (a) you own, control, or otherwise possess all rights, permissions, consents, and authorizations necessary to submit User Content and to grant the license described above; and (b) your User Content does not violate any applicable law or infringe upon the rights of any third party.

You remain solely responsible for all User Content and for the consequences of uploading, storing, transmitting, or otherwise making User Content available through the Platform.

Travel requirements are complex, frequently changing, and often subject to differing interpretations by governmental authorities. Information made available through the Platform may become outdated, incomplete, inaccurate, unavailable, delayed, or inapplicable due to changes in law, policy, governmental practice, geopolitical events, public-health developments, or other factors outside Stamp’d's control.

Stamp’d does not represent, warrant, or guarantee that any travel-related information, travel requirement, checklist item, recommendation, notification, alert, reminder, or other content made available through the Platform is accurate, complete, current, reliable, or applicable to your particular circumstances. You are solely responsible for independently verifying all travel requirements with the applicable embassy, consulate, governmental authority, airline, or qualified professional before making any travel decisions.

Stamp’d does not represent, warrant, or guarantee that any user will (a) qualify for or obtain a visa, permit, passport, travel authorization, or entry permission; (b) be permitted to board any aircraft, vessel, or other transportation; (c) be granted entry into or transit through any country, territory, or jurisdiction; or (d) successfully complete any travel requirement, customs clearance, immigration process, or border-control procedure. Decisions regarding entry, visas, travel authorizations, and border control are made exclusively by governmental authorities at their sole discretion, and Stamp’d has no control over and no responsibility for such decisions.

You agree that you will not, and will not permit any third party to, use the Platform to:

• Violate any applicable law, regulation, governmental order, rule, or requirement
• Upload, submit, or transmit fraudulent, forged, altered, misleading, or illegal documents, records, or information
• Infringe upon the intellectual property, privacy, publicity, contractual, or other rights of any third party
• Attempt to gain unauthorized access to the Platform, other users' accounts, or Stamp’d's systems or networks
• Reverse engineer, decompile, disassemble, scrape, copy, or otherwise attempt to derive the source code or underlying structure of the Platform
• Transmit malware, viruses, ransomware, spyware, or any other harmful or disruptive code
• Use the Platform for any purpose other than your own lawful personal or business travel preparation
• Harass, threaten, or harm any person or entity in connection with your use of the Platform

Stamp’d's collection, use, disclosure, retention, storage, and protection of personal information is governed by the Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge that use of the Platform may involve the transmission, storage, and processing of personal information, including sensitive information such as passport data, travel documents, and identity information.

By creating an account, accessing, or using the Platform, you consent to receive communications, notices, disclosures, agreements, and other information from Stamp’d electronically, including by email, in-application notification, or by posting to the Platform. You are responsible for maintaining accurate and current contact information associated with your account, including your email address.

To the extent permitted by applicable law, you consent to the use of electronic signatures, electronic records, and electronic delivery of notices and disclosures in connection with your use of the Platform and these Terms.

The Platform may contain links to, integrate with, access, rely upon, display, or otherwise make available information, content, products, services, tools, databases, or other resources provided by third parties ("Third-Party Services"). Third-Party Services are provided solely as a convenience to you. Stamp’d does not own, control, operate, monitor, endorse, guarantee, or assume responsibility for any Third-Party Services or for the accuracy, completeness, availability, reliability, or legality of any information or content obtained from Third-Party Services.

Your interactions with Third-Party Services are solely between you and the applicable third party. Any use of Third-Party Services is at your own risk and subject to the terms and policies of the applicable third-party provider.

The Platform, including all software, source code, algorithms, user interfaces, functionality, designs, content, data compilations, trademarks, trade names, logos, and other materials made available through or in connection with the Platform ("Platform Materials"), are owned by or licensed to Stamp’d and are protected by applicable intellectual property laws. Subject to your compliance with these Terms, Stamp’d grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial travel-preparation purposes.

To the extent that you provide any suggestions, ideas, feedback, or other submissions regarding the Platform ("Feedback"), you hereby assign to Stamp’d all right, title, and interest in and to such Feedback, and Stamp’d shall be free to use, reproduce, modify, commercialize, and otherwise exploit such Feedback without restriction, attribution, or compensation.

From time to time, Stamp’dmay make available features designated as "beta," "experimental," "pilot," "preview," "early access," or by a similar designation ("Beta Features"). Beta Features are provided for evaluation and testing purposes only and may contain errors, defects, bugs, inaccuracies, or security vulnerabilities. Beta Features may be modified, suspended, or discontinued at any time with or without notice.

Stamp’d may suspend, restrict, or terminate access to the Platform at any time, with or without notice, if it reasonably believes (a) you violated these Terms or the Privacy Policy; (b) your continued access creates risk to Stamp’d, its affiliates, or other users; or (c) such action is required by law. You may close your account at any time by contacting contact@getstampd.org. Upon termination, Stored Content may be permanently deleted.

To the fullest extent permitted by applicable law, you hereby release and forever discharge Stamp’d, its affiliates, licensors, service providers, contractors, officers, directors, employees, agents, successors, and assigns from any and all claims, demands, liabilities, damages, and expenses of every kind arising out of or relating to: any governmental decision or action; any visa determination, immigration decision, customs determination, or border-control action; denied boarding, denied entry, travel restrictions, quarantines, detentions, or deportations; changes to travel requirements or governmental policies; or any reliance upon information made available through the Platform.

You acknowledge and agree that international travel inherently involves risks outside of Stamp’d's control and that Stamp’d shall not be responsible for the actions, decisions, or policies of governmental authorities, transportation providers, or other third parties.

You agree to defend, indemnify, and hold harmless Stamp’d, its affiliates, licensors, service providers, contractors, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Platform; (b) your User Content or Stored Content; (c) your violation of these Terms or applicable law; (d) any fraudulent, forged, or unlawful document or submission made by you; or (e) your negligence or willful misconduct.

Except for disputes that qualify for small claims court and claims seeking injunctive or equitable relief relating to intellectual property rights, any dispute arising out of or relating to the Platform or these Terms shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its applicable consumer arbitration rules. The arbitration shall be conducted in Marion County, Indiana (or remotely as determined by the arbitrator). The arbitrator may award any remedy available under applicable law on an individual basis but shall have no authority to conduct class, collective, or representative proceedings.

These Terms and any dispute arising out of or relating to the Platform or these Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without giving effect to any choice-of-law or conflict-of-law rules. To the extent any dispute is permitted to proceed in court, the parties irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Marion County, Indiana.

You agree to comply with all applicable export-control, trade-control, and economic-sanctions laws and regulations, including those administered by the United States government. You represent and warrant that you are not located in, ordinarily resident in, or organized under the laws of any country subject to comprehensive U.S. economic sanctions, and that you are not identified on any applicable sanctions or denied-party lists.

Stamp’d shall not be liable for any delay, interruption, unavailability, or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, terrorism, governmental actions, utility failures, internet disruptions, cyberattacks, failures of third-party service providers, or any other event beyond Stamp’d's reasonable control.

Stamp’d continually develops and modifies the Platform. Stamp’d reserves the right, at any time and in its sole discretion, to add, remove, modify, suspend, or discontinue any aspect of the Platform, including features, functionality, content, integrations, pricing, or service offerings, without notice and without liability.

Stamp’d reserves the right to modify these Terms at any time. If Stamp’d makes material changes, it may provide notice by posting the updated Terms on the Platform, updating the Effective Date, or sending an email notification. By continuing to access or use the Platform after revised Terms become effective, you agree to be bound by the revised Terms. If you do not agree, your sole remedy is to discontinue use of the Platform and terminate your account.
